Lotwise Terms of Service
These Terms of Service (“Terms”) govern access to and use of the Lotwise software service. By creating an account or using Lotwise, you agree to these Terms.
These documents are initial production drafts and are not a substitute for professional legal review before public release.
1. About Lotwise
Lotwise is software for managing collectible and trading-card inventory, recording transactions, keeping related business records, viewing business analytics, and using related operational features made available to your account.
Lotwise is provided by Lotwise Ltd (“Lotwise”, “we”, “us”). Lotwise Ltd is in the process of being formed as a UK limited company. Company number and registered office will be published here once incorporation is complete. 2. Who may use the service
You may request and use a Lotwise account only if you are authorised to bind the business or organisation named in the application, and if the information you provide is accurate and kept up to date.
You are responsible for safeguarding account credentials and for activity carried out under your account, including access granted to authorised team members.

3. Accounts and approval
Registration does not automatically guarantee access to Lotwise. Lotwise may require account review and approval before workspace access is activated.
Until an account is approved and active, access to operational workspace features may be limited or unavailable. Lotwise may refuse, delay, or condition approval where reasonably necessary to operate the service securely and fairly.
4. The Lotwise service
Depending on your plan and entitlements, Lotwise may provide inventory management, buy/sell/trade transaction recording, team membership, imports, business analytics/reporting, catalogue lookup, and related account administration features.
Features may differ between web and mobile clients. Capabilities marked as disabled for your account, or not enabled for the current release, are not part of your contracted service for that period.
Optional or experimental capabilities that are not enabled for your account are not part of the V1 contracted service described in these Terms.
5. Inventory and transaction records
You are responsible for the information you enter into Lotwise, including inventory details, costs, quantities, transaction values, and business profile information.
You remain responsible for validating transaction values and for maintaining any underlying business, accounting, or tax records required for your organisation.
Lotwise assists with operational record-keeping but does not replace your own bookkeeping, accounting, or compliance processes. Customer-entered information remains your responsibility.
6. Market values and pricing information
Market values, historical sale information, catalogue prices, valuations, guide prices, analytics outputs, and estimated resale values shown in Lotwise are informational estimates only.
They are not guaranteed sale prices, financial advice, investment advice, tax advice, or professional valuations. Market prices can change, and Lotwise does not guarantee that any card or item will sell at a displayed amount.
You should apply your own commercial judgement before buying, selling, pricing, or otherwise dealing in inventory.
7. Analytics
Business analytics and reports depend on the accuracy and completeness of the records you and your team enter. Incomplete, delayed, or incorrect entries may produce incomplete or misleading analytics.
8. Customer data and content
You retain ownership of the underlying business information you add to Lotwise, including inventory, transaction information, business profile details, uploaded business logos, and other customer-supplied content (“Customer Content”).
Ownership of Customer Content does not transfer to Lotwise merely because it is stored or processed by the service.
You grant Lotwise a limited licence to host, store, process, transmit, display, and otherwise use Customer Content solely as reasonably necessary to provide, secure, support, and improve the Lotwise service, and to comply with law.
9. Acceptable use
You must not use Lotwise for illegal activity; attempt unauthorised access to systems, accounts, or data; attack or overload infrastructure; distribute malware; circumvent security or access controls; scrape or harvest data where prohibited; interfere with other customers’ use of the service; abuse APIs; or engage in fraudulent activity.
We may investigate suspected misuse and take reasonable steps to protect the service and other users.
10. Availability and changes
We aim to keep Lotwise available and reliable, but the service may be interrupted for maintenance, upgrades, faults, or factors outside our reasonable control. Software can contain defects.
We may update functionality over time. Where a change materially affects your use of the service under these Terms, we will take reasonable steps to provide notice where practicable. We will not treat these Terms as permitting unrestricted material contract changes without notice.
11. Subscriptions and payments
Lotwise commercial arrangements are currently administered manually for approved accounts. Automated card payment collection is not part of the current service model described in this draft.

12. Termination
You may request cancellation of your Lotwise account by contacting [SUPPORT EMAIL].
We may suspend or terminate access where reasonably necessary for security, abuse, non-payment (where fees apply), serious breach of these Terms, or to comply with law. Where appropriate and lawful, we will provide reasonable notice.
After termination or cancellation, we may retain or delete Customer Content in line with our Privacy Notice and any legal retention requirements. Export or recovery options, if any, will be described in account communications or support guidance available at the time.
13. Intellectual property
Lotwise and its licensors retain ownership of the Lotwise software, branding, underlying platform, and proprietary interface, design, and code.
These Terms do not transfer ownership of Customer Content to Lotwise.
14. Third-party services and data
Some Lotwise functionality may rely on third-party infrastructure or data providers (for example authentication, hosting, email delivery, or catalogue/market data sources where enabled).
We remain responsible for providing the Lotwise service under these Terms, but we do not control third-party services in full and cannot guarantee uninterrupted availability of every third-party dependency.
15. Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law of England and Wales, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Subject to the preceding paragraph, Lotwise is not liable for: (a) loss of profits, revenue, business, goodwill, or anticipated savings; (b) indirect or consequential loss; or (c) loss arising from decisions made solely in reliance on informational market values, estimates, or analytics.
Subject to the non-excludable liabilities above, Lotwise’s aggregate liability arising out of or in connection with these Terms or the service in any 12-month period is limited to the greater of (i) the fees paid for the Lotwise service in that period, or (ii) £100, where no fees have been paid.

17. Changes to Terms
These Terms are version 2026-08-v1, last updated 22 August 2026.
We may update these Terms from time to time. For material changes, we will provide notice by reasonable means (for example in-product notice or email) and may require renewed acceptance before continued use of the service.
18. Governing law
